Terms and Conditions of Service

Greenroom Technologies Limited - Last Updated: 1 November 2025

Welcome to Greenroom (“Greenroom,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of Greenroom’s websites, mobile apps, APIs, and other online services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
We may amend these Terms from time to time. When we do, we’ll post the updated version (with a new “Last Updated” date) and provide notice (e.g. via email or in‑app). Continued use of the Services after such changes indicates your consent to the new Terms. If you have any questions about these terms of service please contact us at hello@mymygreenroom.io. 

1. Eligibility & Scope
1.1 No Age Restriction

Greenroom is available to users of all ages. By using the Services, you represent you have the legal right to enter into these Terms, and if you are under the age required to consent in your jurisdiction, you confirm that a parent or guardian has consented to your use. Our content is moderated and safe for all fans.

1.2 Purpose & Focus

Greenroom is a creator economy platform focused on the sporting industry. Its primary goal is to allow creators (Athletes, teams, leagues or events) to create and distribute sport‑related content to build communities, monetize that content, and engage with fans and supporters daily.

2. User Accounts & Security
2.1 Account Registration

To access certain features (e.g. monetization tools, content posting, subscription options), you must register for a creator account. You agree to provide accurate, complete, and up-to-date information, and to keep that information current. All creators profiles will be verified internally. 
For all non-creators (not athletes, leagues, teams or events) you must register as a fan.
2.2 Account Credentials

You are responsible for maintaining the confidentiality of your login credentials (username, password, etc.). You may not share your credentials. You must promptly notify us if you suspect unauthorized access or use of your account.
2.3 Account Use

If you allow others to use your account, you remain liable for all actions taken using it. We reserve the right to reclaim or reassign usernames if necessary, including for trademark or brand protection. For organisational level creators – with multiple users, we will contact the admin user of that organisation if there is suspicious use or logins on the account. Additionally if someone creates a profile and claims they are a part of an organisation, and that org is already created we will contact the admin of that organisation for verification and acceptance of the additional user.
3. User Content & Licenses
3.1 User Content Definition

“User Content” means any text, images, audio, video, data, comments, messages, or other content you post, upload, share, or transmit through the Services.
3.2 Ownership & Rights
You retain ownership of your User Content. However, by submitting content, you grant Greenroom a non-exclusive, royalty-free, worldwide, sub licensable license to use, reproduce, adapt, publish, distribute, display, and perform your User Content in connection with providing the Services. 
3.3 Content Ownership, Image Rights & Distribution Responsibility Users retain full ownership of any content they create and post on the Greenroom platform (“User Content”). This includes, but is not limited to, videos, images, commentary, performance insights, and behind-the-scenes material. Athletes, Team Members & Affiliates: If you are an athlete, team staff, or affiliated with a league, club, or event, it is your sole responsibility to ensure that your content distribution, use of image rights, and public sharing of materials do not violate any contractual obligations, sponsorship agreements, licensing arrangements, or employment terms you may be subject to. Greenroom Technologies Limited does not review or validate third-party contracts and will not be held liable for any conflicts, breaches, or disputes arising from the use or monetization of User Content on the platform that may infringe on privately held agreements or image rights. Team, Leagues, Events & Athlete Content Rights: Teams are permitted to create and post content about their operations, athletes, and competitions, subject to their own internal permissions and rights agreements. Likewise, athletes may post content relating to their personal experiences, performance, and daily lives — provided such content does not breach team, league, or contractual obligations. Monetization: Greenroom does not claim ownership of User Content. If you create and publish content on the platform, you maintain ownership and are entitled to any monetization proceeds generated through our tools. Any legal disputes concerning image rights, likeness use, or content ownership between users and third parties are outside the scope of Greenroom Technologies Limited’s responsibility.

3.4 Visibility & Monetization

Depending on your settings and creator status, some User Content may be publicly visible, shared with subscribers, or locked behind paid access (“Premium Content,” “Paid Interactions,” etc.). You understand that by enabling monetization features, you authorize us and our payment processors to facilitate transactions involving your content.
3.5 Representations & Warranties
 You represent and warrant that:

  • You have all necessary rights and permissions to post and monetize your User Content.
  • Your content does not infringe third-party rights (copyright, trademark, privacy, publicity, etc.).
  • Your content does not violate applicable laws within your region and does not violate our censorship standards.
  • Use of your content under these Terms will not cause harm or legal liability to us or any third party.
3.6 Removal & Moderation
While we do not generally review all User Content before it is posted, we reserve the right (but not the obligation) to remove or disable access to content that violates these Terms or our policies, with or without notice.

4. Monetization, Fees & Payments
4.1 Monetization Tools
 Greenroom enables creators to monetize via:

  • Subscriptions / membership tiers
  • Pay-per-post or pay-to-unlock content
  • “Paid Interactions” (e.g. direct chat, custom content, voice/video calls)

4.2 Fees & Revenue Sharing

We charge a service fee on revenue generated via the platform. The precise split (for example, 85% to creator / 15% service fee) will be displayed when you set your monetization terms.
If transactions occur via in-app purchases (Apple, Google) on mobile, platform-specific fees and rules may apply. If you wish to avoid this ensure transactions are done on the website application.

4.3 Payments to Creators

Creators have the following options with their earnings:

  • Withdraw the funds: This involves Greenroom Technologies Limited transferring the funds directly to the bank account registered by the creator. It the the responsibility of the creator to comply to regional tax laws and to provide us with valid tax information. We may hold amounts for compliance, fraud investigation, or suspected breaches. Payouts may incur delays.
  • Pay-It-Forward: This involves the creator pledging all or a certain amount of their earnings to charity.

4.4 No Refunds / Final
Sales
 Except as required by law or expressly allowed by us, all payments are final, nonrefundable, and nontransferable.

4.5 Disputes
If you have a dispute arising from a transaction with a creator or user, your recourse is against that party. We are not liable for disputes over content or services exchanged between users via our platform. Fans – as users – can cancel their subscription at anytime and are charged month to month.

5. Content & Conduct Guidelines
5.1 Prohibited Content
You must not upload, post, or share content that:

  • Violates laws or third-party rights
  • Is defamatory, harassing, hateful, offensive, inciting violence, sexist, racist or threatening to anyone or thing.
  • Constitutes pornography, explicit sexual content, nudity for sexual purposes, or erotic content beyond permissible bounds
  • Promotes violence, self-harm, or illegal activities
  • Encourages or depicts dangerous conduct
  • Contains spam, scams, pyramid schemes, or unsolicited advertisements
  • Facilitates impersonation or misrepresentation, rumours, gossip or fake news.

5.2 Prohibited Behaviour
You must not:

  • Use another user’s account without permission
  • Interfere with the Services (e.g. reverse engineering, scraping, bots)
  • Distribute malicious software (viruses, malware)
  • Attempt to bypass content protections or community rules
  • Encourage or facilitate violations of these Terms
  • Engage in hate speech, bullying, harassment, or threats toward other users

5.3 Moderation & Reporting
We may moderate or remove content, suspend or ban accounts, or enforce restrictions if content or behaviour violates these Terms or our policies. You may report violations, and we may act in our discretion. Greenroom is a safe space and we intend for it to stay that way.
6. Creator-Specific Terms & Features
6.1 Creator Application & Verification
To access advanced monetization features, you may need to apply or verify identity, age, or other information as requested by us. We will keep all of your information secure and respect your privacy.
6.2 Paid Interactions
If you enable paid interactions (custom content, messages, audio etc.), once you accept a paid request, you agree to deliver the service in a professional manner within the agreed time frame.
6.3 Revenue & Commission Terms

Your earnings will be calculated after deducting our service fee, platform fees, and any applicable taxes. You agree that we may withhold sums where we detect fraud, abuse, or violation of policies.
6.4 Termination of Creator Status

If we remove your creator privileges or block monetization features, existing subscriptions or paid commitments may be canceled, and remaining balances handled per our policies.
7. Account Deletion & Termination
7.1 User-Initiated Deletion

You may delete your Greenroom account via the settings section. After deletion:

  • You lose access to the account and its content.
  • Active subscriptions or paid content access will be canceled per applicable rules. We will update your fans if you are a creator.
  • We may retain some data as required by law or for legitimate business purposes (see our Privacy Policy).

7.2 Termination by Greenroom


We may suspend or terminate your account and access if you violate these Terms or engage in harmful conduct. In such cases, we may refuse refunds or outgoing payments, as permitted by law.
7.3 Content Upon Termination


Upon termination or deletion, your User Content may be removed or disabled. We are not obligated to continue hosting or serving content after termination.
8. Intellectual Property & License Restrictions
8.1 Greenroom’s Intellectual Property


All rights to the Services themselves (design, interface, trademarks, software, etc.) are owned by Greenroom or its licensors. You receive only a limited, revocable license to use the Services as permitted by these Terms.
8.2 Restrictions


Unless expressly authorized, you may not:

  • Copy, reproduce, distribute, or publicly display the Services
  • Create derivative works from the Services
  • Reverse engineer, decompile, or tamper with the Services
  • Use data-mining, scraping, or bots
  • Use any trademark, logo, or branding without our written permission

9. Third-Party Services & Links
Our Services may integrate with or link to external services (payment processors, social networks, analytics, etc.). You agree that:

  • Use of third-party services is subject to their terms
  • We are not liable for the performance, compliance, or security of third-party services
  • You bear responsibility for your interactions with other users or external services

10. Indemnification
To the extent allowed by law, you agree to indemnify, defend, and hold harmless Greenroom and its affiliates, officers, agents, and employees (collectively, “Greenroom Parties”) from any claims, damages, liabilities, losses, costs, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your User Content
  • Your violation of these Terms
  • Your infringement of others’ rights
  • Your conduct in connection with the Services

You must promptly notify us of third-party claims, cooperate with defence, and allow us to control settlement decisions.

11. Disclaimers & Limitation of Liability
11.1 “As Is” & No Warranty


The Services and content are provided “as is” and “as available,” without warranties of any kind (express or implied), including implied warranties of merchantability, fitness for a particular purpose, noninfringement, or accuracy.
We do not guarantee uninterrupted or error-free access. We disclaim liability for viruses or other harmful components.
11.2 Limitation of Liability

To the fullest extent permitted by law, Greenroom Parties will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of your use of (or inability to use) the Services, even if advised of the possibility of damages.
In jurisdictions that do not allow limitations on liability, some of these limitations may not apply.

12. Dispute Resolution & Governing Law
12.1 Informal Resolution


If a dispute arises, you agree to first attempt to resolve it informally by contacting us.

12.2 Binding Arbitration / Class Waiver

If informal resolution fails, disputes may be resolved by binding arbitration (or as otherwise permitted under local law), and you may be waiving your right to a class action, jury trial, or court proceedings. The specifics (venue, arbitration provider, etc.) will be detailed in the arbitration clause applicable to your jurisdiction.


12.3 Governing Law & Venue

These Terms are governed by the laws of Ireland, without regard to conflict-of-law rules. Any court proceedings (where allowed) shall take place in Ireland, unless altered by arbitration clause.

13. Data Transfer & Privacy
By using the Services, you consent to our collection, transfer, storage, and processing of information in your country of residence or other jurisdictions. Our Privacy Policy governs how we collect, use, and share your data. Use of the Services is also subject to our Privacy Policy, which explains how we collect, use, retain, and protect your personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR). If you are located in the European Union or United Kingdom, you have rights under GDPR including the right to access, rectify, erase, restrict, or object to processing of your data, and to data portability. You may exercise these rights by contacting us

14. Modifications to Services
We may modify, suspend, or discontinue the Services (or portions thereof) at any time. We will try to notify you, but are not obligated. You may stop using the Services at any time. We will not be liable for damages arising from any modification, suspension, or discontinuation.
15. Severability, Interpretation & Miscellaneous
If any provision of these Terms is invalid or unenforceable, that provision will be severed and the remainder will continue in effect.
Headings are for reference only and do not affect interpretation.
“Including” means “including but not limited to.”
These Terms, along with any policies or legal notices posted by us, constitute the entire agreement between you and Greenroom regarding the Services, superseding any prior agreements.
Failure to enforce a right or provision does not waive future enforcement of that right.
Communications between us may be electronic. You are responsible for having the needed hardware, software, and internet connectivity to use the Services.
